Welcome to the page with the general terms and conditions of DocuFilm. Here you will find all agreements, provisions and guidelines that apply when you make use of our services, such as film production, editing or documentary development.

We recommend that you read these terms carefully before entering into an agreement with us. This way, you will know exactly what you can expect from DocuFilm — and what we expect from you as our client.

General Terms and Conditions

1. Definitions

  • DocuFilm: the company that provides film, documentary, or media production services. Chamber of Commerce: 77059131. User of these terms and conditions.

  • Client: The counterparty to the agreement, a natural or legal person who rents equipment and/or purchases services from DocuFilm.

  • Agreement: The arrangement for the rental of equipment and/or provision of services by DocuFilm.
  • Product: all services or deliverables provided, including film recordings, documentaries, editing, and other media.

2. Applicability

These general terms and conditions apply to all quotations, agreements, services and deliveries of DocuFilm, unless otherwise agreed in writing.

3. Quotations and Agreements

  • All offers and quotations are non-binding, unless a period for acceptance is specified. Quotations are valid for 30 days, unless stated otherwise.

  • An agreement is established when the client gives written or verbal approval of the quotation or service.

  • Prices are exclusive of VAT and other government levies, as well as exclusive of costs incurred in connection with the agreement, such as shipping, administration, or insurance costs.
  • DocuFilm may request a deposit or advance payment as security. If such security is not provided, DocuFilm is not obliged to execute the agreement. The request for a deposit or advance payment will always be made in consultation with the client.

4. Execution of the Assignment

  • DocuFilm will carry out the agreement to the best of its ability and in accordance with professional standards.

  • The Client must provide all information necessary for execution in a timely manner. If this does not happen, DocuFilm may suspend the work and charge additional costs.
  • Any deadlines will be established in consultation.

  • If necessary for proper execution, DocuFilm may have work carried out in whole or in part by third parties. This will be done in consultation with the client.
  • If it becomes clear during execution that adjustments are required, the parties will amend the agreement in consultation.
  • Changes to the assignment may result in adjustments to the price, schedule and delivery date. DocuFilm will inform the client accordingly.

  • The agreement is entered into for a fixed term as stated in the contract. Unless explicitly agreed otherwise, a deadline is not considered binding.
  • If progress depends on approval or delivery by the Client, DocuFilm may suspend execution until that condition is met.

5. Payment

  • Payment must be made within 14 days of the invoice date, unless otherwise agreed.

  • In case of non-payment, DocuFilm may suspend its activities.

  • Parties may agree on a fixed price. If not, the price is based on the actual time spent and/or rental of materials at applicable rates.
  • DocuFilm may pass on price increases (e.g. wages or materials) that occur between the quotation and delivery. If the scope of work proves demonstrably greater than could have been foreseen (without fault of DocuFilm), DocuFilm may adjust the price.

6. Liability

  • DocuFilm is not liable for indirect damages (such as consequential damages, loss of profit or reputational damage).

  • Liability is limited to the invoice amount of the relevant assignment.

  • DocuFilm’s liability is limited to direct damages up to the amount paid out by its liability insurer. Indirect damages (such as consequential loss, lost profits or business interruption) will not be compensated.
  • These limitations do not apply in the case of intent or gross negligence by DocuFilm or its employees.

7. Rights and Use of Material

  • DocuFilm retains the copyright to all image and video material it produces, unless otherwise agreed in writing.

  • The client receives a usage right for agreed purposes.

  • Reuse by the client outside these purposes requires written permission.

8. Third-Party Intellectual Property

If music, archive footage or other third-party material is used, DocuFilm will ensure proper licences, unless otherwise agreed.

9. Cancellation and Suspension

  • Cancellation of an assignment by the client must be done in writing.

  • For cancellations within 7 days before commencement, up to 50% of the quoted price may be charged.

  • In case of early termination of the assignment, the work already carried out will be invoiced proportionally.

10. Force Majeure

In the event of force majeure (such as illness, extreme weather, technical failure), the execution of the assignment may be postponed or cancelled without liability for damages.

11. Confidentiality

Both parties are obliged to maintain confidentiality of confidential information, unless a legal obligation to disclose exists.

 

12. Applicable Law

All legal relationships between DocuFilm and the client are governed by Dutch law.
Disputes will preferably be resolved by mutual agreement. If this is not possible, the court in the district where DocuFilm is established has jurisdiction.
